	AliXXor Rules and Procedures Section 1 � Introduction 1.1 Policies Incorporated into AliXXor Affiliate Agreement. The Policies and Procedures are incorporated into the AliXXor Affiliate Application and Agreement. You must read and understand these Policies and Procedures prior to starting your AliXXor business. As an AliXXor Affiliate, you must comply with all terms and conditions set forth in these Policies and Procedures, as well as honor all applicable laws and regulations in the States and Country where you live and in the countries in which you operate your AliXXor Affiliate The words "the Company" and "AliXXor " when used in this document refer to AliXXor Ltd. 1.2 Purpose The purpose of the AliXXor Affiliate Agreement is: � To define the relationship between AliXXor and you as an Affiliate of AliXXor . � To point out the need for and to set standards of acceptable business behavior; � To assist you in building and protecting your business. 1.3 Changes The Company may from time to time amend the AliXXor Affiliate Agreement and Price List. AliXXor will notify you of any such changes. When there is a change in any official documents the Company will inform you in the official AliXXor materials sent to you from time to time. Occasionally it may not be possible for the Company to carry out its obligations because of circumstances beyond the Company's control such as strikes, labor difficulties, riot, war, fire, curtailment of source of supply, government decrees or orders, etc. 1.4 Severability If any provision in the AliXXor Affiliate Agreement is found to be invalid, illegal, or unenforceable, AliXXor may amend or delete that provision. The amendment or deletion of any clause or provision will not affect the remaining clauses and provisions which will continue in full force and effect. 1.5 Compliance AliXXor never forfeits its right to require AliXXor Affiliate compliance with the AliXXor Affiliate Agreement or with applicable laws and regulations governing business conduct. Only in rare circumstances will a policy be waived and that is only permitted when conveyed in writing by the Company. Any such waiver will apply only to that specific case. Section 2 - Becoming a AliXXor Affiliate 2.1 Requirements to become an AliXXor Affiliate Reside in any geographic area where the Company has been approved for business; Review the AliXXor Policies and Procedures; Submit your online AliXXor Affiliate Application. Commit to studying the training material provided. To become a AliXXor Affiliate you must be at least eighteen years of age. 2.2 Identification and AliXXor Affiliate Number AliXXor will provide you with a AliXXor Affiliate Number which you must quote when placing orders or tracking your commissions. 2.3 AliXXor Affiliate Benefits When AliXXor accepts your Application to be a AliXXor Affiliate, you may: � Order product from the Company for supply to customers at retail prices and earn income from those orders; � Rent the AliXXor instrument to customers for experimental purposes. � Use your links, web addresses to promote your business using the company site that may be amended from time to time. � Participate in company-sponsored support, service, training, motivational, and recognition functions (upon payment of appropriate charges) � Participate in promotional and incentive program�s for AliXXor Affiliates. Section 3. Operating an AliXXor Affiliate 3.1 Advertising It is extremely important that AliXXor Affiliates promote AliXXor's products, operations, and other AliXXor Affiliates in the very best possible way. You can achieve this by ensuring that you use all materials AliXXor publishes and provides in the most professional way. Accordingly, the following policies and procedures will apply: 3.1.2 General Information AliXXor Affiliates may not create, publish, or distribute any sales, marketing and support materials representing AliXXor or its products to promote their independent businesses other than those sales, marketing and support materials which are provided by AliXXor and listed on the AliXXor Price list or website. Sales, marketing, and support materials include, but are not limited to, training, brochures, flyers, pamphlets, posters, postcards, letters, classified advertisements promoting AliXXor Ltd's products. 3.1.3 Media Enquiries AliXXor Affiliates must refer all media enquiries regarding AliXXor to the Company. This will ensure accurate and consistent information reaches the general public. 3.1.4 Trademarks and Copyrights � AliXXor Affiliates may not use the AliXXor trademark or trade name or corporate logo to promote their independent business without express permission from the company.. � You may describe yourself as an AliXXor Affiliate in a telephone directory. . You should not answer your telephone in any manner that might indicate or suggest that the caller has reached a AliXXor corporate office. � You may not record or reproduce materials from any AliXXor corporate function, event, speech, etc. � You may not record, reproduce, or copy any presentation or speech by any AliXXor spokesperson, representative, speaker, officer, director, or other AliXXor Affiliate. � You may not reproduce or copy any recording of Company produced audio or video tape presentations. � You may not publish, or cause to be published, in any written form or electronic media, the copyrighted materials or property of AliXXor Ltd, without express written authorization from AliXXor Ltd. � You may not use the AliXXor trade name as part of a URL or internet domain name without express written authorization from AliXXor Ltd. 3.2 AliXXor Affiliate Claims and Representations Claims When presenting information about AliXXor products, you must not make therapeutic or other claims except as set forth in authorized AliXXor literature. 3.3 Commercial Outlets The Company is a Retailer, and sells its products direct to its customers through the direct sales method. The price is set by the company and no advertised discounting is permitted so as to undercut other AliXXor Affiliates or other marketers of AliXXor products. The company from time to time may allow a discounted price. 3.4 Other Companies and Products You are free to participate in other direct marketing programs and may engage in selling activities of non AliXXor products and services. 3.5 Deceptive Practices You must fairly and truthfully explain the AliXXor treatments and products and what they can do. 3.6 Independent Contractor Status The agreement you have with AliXXor does not create an employer/employee relationship, partnership, or joint venture. You are responsible to pay your own income tax, set your own goals, hours, and methods of sales. You are an independent contractor. 3. 7 Insurance You should obtain insurance coverage for your business activities. 3.8 International Because of International Business constraints, AliXXor Affiliates must comply with all the applicable laws and regulations for that country. 3.9 Adherence to Laws and Ordinances You must obey all laws that apply to your business. 3.10 Re-packaging and Re-labeling You may not re-label or in any way change the labels on any AliXXor products. 3.11 Income Tax Responsible citizens comply with the Income Tax laws. The income which you earn from your activities as a AliXXor Affiliate, may be subject to Income Tax and you should take the necessary action to ensure that, if so, your AliXXor income is included in your next Income Tax Return. Under Income Tax Laws, you are entitled to deduct from your income, all the expenses incurred in producing that income, and you should ensure that you keep proper records of your expenditure. You should obtain a receipt for all deductible expenses and carefully file them, since they may be required to support your claims for expense. If you are in any doubt about your income tax liability you should seek expert professional advice. 3.13 Territories The Company imposes no territorial limits on AliXXor Affiliates and you are permitted to operate anywhere within your country or countries of appointment. AliXXor Affiliates should not in any way state or imply that any territorial restrictions exist. 3.14 Trade Shows and Expositions You may display and seek orders for AliXXor products at trade shows and expositions, but the literature displayed must be official AliXXor literature and must identify you as an AliXXor Affiliate. You may not display or seek orders for AliXXor products at swap meets, garage sales, flea markets, or farmers' markets. Section 4 Responsibilities of AliXXor Affiliates 4.1 Reporting Policy Violations You should report any observed violations of a AliXXor Affiliate Agreement to the Company. Section 5: Commissions The Company pays commissions monthly. You should review your commission statement and report any errors within thirty days. 5.1 Adjustments of Bonuses and Commissions Commissions result from your product sales. Accordingly, commissions will be adjusted when any AliXXor Affiliate returns product for refund. 5.2 Rights to Earn Commissions You must be in compliance with the terms of the AliXXor Affiliate Agreement to qualify for commissions. 5.4 Payment of Commissions The company pays commissions as per the affiliate structure. Section 6 : Product Guarantees and Returns AliXXor warrants the quality of its products and will gladly exchange any damaged or defective items within the first 5 year of purchase. 6.1 Retail Customers Product Returns If the customer is dissatisfied with any product, the affiliate is to contact the company within 30 days of the shipment date to receive authorization and return instructions. Please note, products cannot be returned if taken on a trial basis. All unopened products can be returned for a full refund of the purchase price. Products must be sealed, unopened, and in original packaging. Products must be shipped back to AliXXor at the affiliates expense. Products that have been opened will incur a 5% restocking fee. All merchandise must be insured properly by the customer. Refunds will be issued upon receipt of the returned products. Shipping charges cannot be refunded. If items are not insured properly and get damaged or lost when returned, the company will not grant refunds. Refunds are made in the same form as the original payment. All refunds must be issued to the original purchaser. If goods are proven faulty, we will provide a replacement free of charge under the Consumer Guarantees Act. 6.2 Procedure for all Returns and Repurchases To receive a refund, exchange, or replacement the affiliate must: � Return the product in the original packing with accessories. Product must be in the original condition. � Use proper shipping carton and packaging materials to return the product to AliXXor. The affiliate is responsible for the return shipment and must pay all freight and shipping charges. � Send the product to AliXXor within 10 days with a copy of the original sales receipt. � Only the AliXXor Affiliate who ordered the product from the Company may return it. . The Company is not liable for items lost in transit. Section 7 Violations of Agreement The Company may withhold a AliXXor Affiliate's commissions while investigating any conduct considered to be in violation of the AliXXor Affiliate Agreement. The Company may take whatever measure it deems appropriate to equitably resolve injuries to other AliXXor Affiliates or to AliXXor which are caused in whole or part by a AliXXor Affiliate's violation of these Policies or the AliXXor Affiliate Agreement. Section 8 : Ordering Methods The customer orders the product through the AliXXor website after being directed there from the URL of the affiliate. 8.1 Ordering AliXXor Products The affiliate may order directly from AliXXor using their ID number to buy at the commissioned rate. 8.2 Shipping Discrepancies Requests for correction of shipping discrepancies should be made within 30 days of shipment. To correct shipping discrepancies, the affiliate is to contact the company as soon as possible. Section 9 : Payment & Shipping 9.1 Method of Payment AliXXor will accept the following methods of payment: Bank cheque, money order, or personal cheque payable to AliXXor and which includes handling and shipping. There will be a charged of(US$20.00) service fee for any cheque that is returned unpaid. This will be in addition to any charge made by the Company's bank. Shipping will commence once the cheque has cleared which can be some weeks. Credit cards and PayPal are preferred methods of payment. Section 10: AliXXor Affiliate Services 10.1 Changes To the AliXXor Affiliate In General, you must notify the Company through the affiliate web site of any changes to contact details addresses. 10.3 Commission Statements Will be available through the affiliate program web site. Section 11: Termination by Company AliXXor may terminate a AliXXor Affiliate for a violation of the AliXXor Affiliate Agreement. This will result in the loss of all rights to commissions generated thereby. The AliXXor Affiliate will be notified of this action and may appeal the termination. Any such appeal must be in writing and addressed to the Company within 15 days of the termination letter. A terminated AliXXor Affiliate may reapply to become a AliXXor Affiliate 12 months from the date of termination. He/she should write to the Company setting forth the reasons why he/she feels they should be allowed to operate a AliXXor Affiliate again. Section 12: Definitions AliXXor Affiliate �A AliXXor Affiliate is an independent distributor that can earn commission by selling the products of AliXXor. AliXXor Affiliate Agreement - Means the AliXXor Rules and Procedures. Official AliXXor Material - Literature, audio or video tapes, and other materials developed, printed, published, or distributed by AliXXor Ltd. Retail Customer - A person who orders AliXXor products through an AliXXor Affiliate for personal use.
